Towns Under Siege, edited by Herbert Smith Freehills partners Tony Damian and Clayton James, is a collection of chapters regarding developments in the law and practice of Australian takeovers and schemes. It features contributions from the Executive of the Takeovers Panel and also from the Australian Securities and Investment Commission, as well as leading practitioners from Herbert Smith Freehills.
Towns Under Siege also contains a foreword by David Gonski AC.
The book covers a range of ideas including the origin of the Australian takeovers code, the role of the target board in a takeover, the rise of shareholder activism, class actions and takeovers, takeover funding and the foreign investment framework. It also posits a number of takeover law reform proposals.
