Herbert Smith Freehills has advised InfraRed Capital Partners (InfraRed) on the divestment of its stake in Celsus Holding Pty Ltd, the consortium that manages the New Royal Adelaide Hospital (NRAH) Public-Private Partnership (PPP).

An international infrastructure investment manager, and with investments into over 200 infrastructure projects, InfraRed has established itself as a highly successful developer and custodian of infrastructure assets that play a vital role in supporting communities.

NRAH being one of Australia's most technically advanced medical facilities and the largest and most technically complex Green Star project in Australia, it highlights the community outcomes that can be achieved through the PPP model of project delivery.

The Herbert Smith Freehills team was led by mergers and acquisitions partner Neena Aynsley and solicitor Alex Hodsman.

Neena Aynsley commented, “We are delighted to have worked with the InfraRed team again, especially on the sale of this important Australian asset which has been developed with complex clinic care and ESG measures central to its operating approaches.”

The deal is the latest example of Herbert Smith Freehills’ market-leading public–private partnership expertise. Other examples of Herbert Smith Freehills recent infrastructure M&A expertise include:

  • Sydney Aviation Alliance - the Australian-led consortium comprising IFM, AustralianSuper, Australian Retirement Trust and Global Infrastructure Partners - on its A$32 billion acquisition of Sydney Airport by way of scheme.
  • Brookfield on its A$10 billion acquisition of AusNet Services by way of scheme.
  • Macquarie Asset Management’s Green Investment Group and investment manager InfraRed Capital Partners on the sale of a 60% equity interest in Victoria’s Lal Lal Wind Farms to Igneo Infrastructure Partners.
