Herbert Smith Freehills' (HSF) Australian Corporate team has advised Maas Group Holdings Limited (Maas Group) on its A$172 million acquisition of the integrated construction materials and construction and plant hire businesses of Cleary Bros, by way of an asset sale which completed on 31 January 2025.
Founded in 1916, Cleary Bros holds integrated construction materials and construction and plant hire businesses with leading positions in the Illawarra region. The businesses consist of quarries, concrete, transport and civil construction and plant hire divisions.
The acquisition by Maas Group, an independent leading Australian construction material, equipment and service provider with diversified exposures across the civil, infrastructure, mining and real estate markets, is part of its strategic growth strategy.
The HSF team was led by Corporate partner Nicole Pedler with the support Real Estate senior associate Matt Wertheimer, Environment Planning and Communities senior associate Brigitte Rheinberger, Corporate associate Charlotte Blackmore, and Corporate solicitor Daniel Hu.
