The Law Society’s Company Law Committee has published a Q&A on how to use electronic signatures and complete virtual executions. Whilst the Q&A is not a comprehensive statement of law, it is intended to assist with some of the practicalities of using an electronic signature in England and Wales.
The Q&A focuses on the use of electronic signatures in commercial law matters, and addresses areas such as witnessing, methods of electronic signature and company board minutes and articles of association.
The Q&A should be read alongside two other Law Society practice notes dealing with execution issues:
- its 2010 note on the execution of documents by virtual means following the Mercury case; and
- its 2016 note on the execution of a document using an electronic signature.
