Anna is an Executive Counsel in the Corporate Head Office Advisory Team.

Anna specialises in corporate governance and has over a decade of experience guiding companies on strategic corporate governance issues, including advising on establishing and enhancing governance frameworks and policies, emerging governance issues and market trends, stakeholder engagement and activism, executive incentive plans and other Board and C-suite level governance matters. 

As a member of Herbert Smith Freehills’ award-winning Head Office Advisory Team (HOAT), Anna works closely with listed and unlisted companies, stapled entities and managed investment schemes (particularly in the ASX100) from a broad range of industries including banking, financial services, mining, energy and resources, infrastructure and retail industries, to deliver tailored governance advice and market practice insights.

Anna’s experience includes advising companies in the financial services industry on governance issues, including on the Banking Executive Accountability Regime (BEAR), Financial Accountability Regime (FAR) and other prudential governance and remuneration matters.

Anna also advises on governance and remuneration aspects of corporate transactions, including IPOs, demergers and M&A transactions.

 

Background

Anna holds a Bachelor of Laws (Honours) and Bachelor of Commerce from the University of New South Wales. Anna is admitted as a Solicitor in the Supreme Court of New South Wales and the High Court of Australia.

  • advising on strategic corporate governance matters including Director and CEO remuneration, performance and succession, AGMs, stakeholder activism and engagement, corporate reporting and corporate governance policies
  • designing and helping to implement corporate governance frameworks and policies in various contexts, including for newly listed entities, demerging entities, stapled structures and not-for-profits
  • advising various large, medium and small authorised deposit-taking institutions (ADIs) on the implementation and ongoing compliance with the Banking Executive Accountability Regime (BEAR) and a range of financial services entities on the implementation of the Financial Accountability Regime (FAR)
  • working with internal audit teams to conduct reviews into the effectiveness of continuous disclosure systems and advising on enhancements
