Ayman Shash
Ayman is a lawyer in our Corporate practice with experience advising clients on corporate and regulatory matters.
Ayman has broad experience supporting clients navigate matters with a regulatory overlay, such as clients in the payments, fintech, funds, banking, and retail sectors. This experience includes advising on market entry into Australia, product structuring, licensing, governance, regulatory compliance and M&A transactions.
Ayman has particular experience advising clients with digitally driven product offerings, informed by his time on secondment advising the digital portfolio of a major Australian bank on contractual, privacy and regulatory matters, as well as experience supporting clients with app-based and online services.
Outside of private practice, Ayman is also a founding member of the African Australian Legal Network.
Background
Ayman holds a Bachelor of Arts and Juris Doctor from the University of Melbourne. He is admitted to practice in Victoria and is on the High Court Register of Practitioners.

- Advising a major bank on the application of the Financial Sector (Transfer and Restructure) Act in the context of implementing a non-operating holding company structure, including preparing and advising on application materials and correspondence to APRA.
- Advising payments, funds, fintech and other corporate clients on the application of anti-money laundering and counter-terrorism financing laws and the development of AML/CTF Programs, including project managing a significant AML compliance remediation.
- Advising financial services providers in the payments sector on market entry into Australia, including supporting clients with Australian financial services licensing applications and AUSTRAC registrations.
- Advising banking clients on prudential standards and CPS requirements, including governance frameworks.
- Advising payments, fintech and other corporate clients on the application of design and distribution obligations and and consumer protection laws.
- Assisting clients with the drafting and review of business and consumer-facing contracts.
- Advising major banks on the acquisition of consumer lending businesses and loan books, conducting and coordinating regulatory and corporate due diligence, as well as assisting with related regulatory advice, including licensing.
